Slab Automation Suite — Licence Agreement
CADEO — SLAB AUTOMATION SUITE
END USER LICENCE AGREEMENT (EULA)

Version: 2026-10-01

IMPORTANT — READ CAREFULLY. This End User Licence Agreement ("Agreement")
is a legal agreement between you (an individual or a single legal entity,
"you" or "Licensee") and CADEO LIMITED, a private company limited by
shares incorporated in Ireland, registered with the Companies
Registration Office under company number 826841, whose registered
office is Unit 9 E&F Ladytown Business Park, Naas, Kildare, Ireland
("Cadeo", "we", "us") for the Cadeo Slab Automation Suite software,
including its templates, drawing libraries, calculation engines,
documentation and any updates supplied to you (together, the
"Software").

By clicking "I accept", downloading, installing, activating a licence
key, or using the Software, you agree to be bound by this Agreement. If you do not
agree, do not install or use the Software.

1. LICENCE GRANT
1.1 Subject to your compliance with this Agreement and payment of the
applicable fees, Cadeo grants you a personal, non-exclusive,
non-transferable, revocable licence to install and use the Software
on the number of devices permitted by your licence key, for your own
internal business purposes, for the duration of your subscription.
1.2 Trial licences are granted for evaluation purposes only, for the
trial period stated at signup, at no charge. Trial output may be
watermarked. Cadeo may limit, suspend or withdraw trial access at
    any time.
1.3 The Software is licensed, not sold. Cadeo and its licensors retain
all right, title and interest in and to the Software, including all
intellectual property rights in its calculation methods, templates,
workbooks, drawing conventions and source code.

2. LICENCE KEYS AND ACTIVATION
2.1 The Software requires a valid licence key and periodic online
validation. You must keep your licence key confidential and must not
    share it outside your organisation.
2.2 Licences are node-locked to the number of machines permitted by your
subscription. You may deactivate a machine and activate a
replacement in the ordinary course of hardware changes.
2.3 You must not circumvent, disable or interfere with the licensing,
activation, template-encryption or output-marking mechanisms in the
    Software.
2.4 On reasonable written notice, and no more than once in any twelve
months unless Cadeo reasonably suspects a breach of this Agreement,
you will confirm in writing the number of machines on which the
Software is installed and, if requested, provide reasonable evidence
of that installation count. This does not extend to your project
    files or deliverables.

3. RESTRICTIONS
Except to the extent a restriction is unenforceable under applicable
law, you must not, and must not permit any third party to:
   (a) copy the Software, or any file installed as part of the Software,
other than as reasonably required for licensed installation and
backup of the installation as a whole. In particular you must not
copy, move, upload, email, extract or otherwise reproduce any
individual file from inside the installation directory — including
the Excel calculation workbooks and templates, the encrypted
template store, the drawing template libraries and the program
code — whether in original, decrypted, exported, screenshotted,
       transcribed or re-typed form (see clause 3A);
   (b) distribute, sell, sublicense, rent, lease, lend or host the
       Software, or make it available to any third party;
   (c) reverse engineer, decompile, disassemble or otherwise attempt to
derive the source code, calculation formulae or protected
       templates of the Software;
   (d) modify, adapt or create derivative works of the Software or its
templates, except for the customisation features the Software
itself provides (e.g. replaceable title blocks and configurable
       parameters);
   (e) extract, republish or commercially exploit the calculation
workbooks, template libraries or any substantial part of them
       separately from your own project deliverables;
   (f) use the Software to develop a competing product; or
   (g) remove or alter any proprietary notices in or on the Software.

3A. PROTECTED FILES AND LIQUIDATED DAMAGES
3A.1 "Protected Files" means the files installed as part of the Software,
and in particular the punching-shear and reinforcement calculation
workbooks (Excel templates), the encrypted template store, the
drawing/DXF template libraries and the program code, in each case in
any form (including decrypted, exported, converted, transcribed or
substantially reproduced copies). Your own project deliverables
generated with the Software (clause 4.1) are not Protected Files.
3A.2 The Protected Files embody Cadeo's core intellectual property and
trade secrets. You acknowledge that copying, extracting or
disclosing any Protected File outside the licensed installation
would cause Cadeo serious harm that is real but difficult to
     quantify precisely.
3A.3 If you (or anyone you permit to access the Software) copy, extract,
distribute or disclose a Protected File in breach of clause 3, you
must pay Cadeo, as liquidated damages and not as a penalty,
     EUR 25,000 per breach (each
Protected File copied, and each recipient it is disclosed to, being
a separate breach). The parties agree this is a genuine and
reasonable pre-estimate of Cadeo's loss, having regard to the
development cost and commercial value of the Protected Files.
3A.4 Payment of liquidated damages under clause 3A.3 does not limit
Cadeo's other rights and remedies, including the right to
injunctive or other equitable relief, termination under clause 9,
and damages for loss exceeding the liquidated amount to the extent
     permitted by law.
3A.5 You are responsible for breaches of this clause by your employees,
contractors and anyone else you allow to access your installation.

4. YOUR OUTPUT
4.1 As between you and Cadeo, you own the project deliverables you
generate with the Software (drawings, schedules, calculation
reports) for your own projects, and you may issue them to your
clients in the ordinary course of your professional work.
4.2 Output generated under a trial licence may carry trial markings and
is provided for evaluation only, not for construction issue.
4.3 Output generated by the Software may contain an embedded,
non-visible licence identifier. It does not affect the content of
the deliverable, and you must not remove or alter it. Where a file
containing such an identifier comes into Cadeo's possession, Cadeo
may examine the identifier to establish the licence under which the
    file was produced.

5. PROFESSIONAL RESPONSIBILITY — IMPORTANT
5.1 The Software is a productivity tool for qualified structural
engineering professionals. It automates drafting and calculation
workflows; it does not exercise engineering judgement.
5.2 ALL OUTPUT OF THE SOFTWARE — INCLUDING PUNCHING SHEAR CALCULATIONS,
REINFORCEMENT DRAWINGS AND BAR BENDING SCHEDULES — MUST BE REVIEWED,
VERIFIED AND APPROVED BY A SUITABLY QUALIFIED AND EXPERIENCED
ENGINEER BEFORE ANY USE IN DESIGN OR CONSTRUCTION. You retain full
professional responsibility for every deliverable you issue.
5.3 You are responsible for confirming that the design codes, material
factors and parameters applied by the Software are appropriate for
    your project and jurisdiction.
5.4 Cadeo does not provide engineering services under this Agreement and
is not the engineer of record for any project.
5.5 DESIGN ASSUMPTION YOU ACCEPT — PUNCHING SHEAR. The punching shear
calculations determine the extent of shear reinforcement (the outer
control perimeter, u,out) from the net shear crossing each control
perimeter: the column reaction less the factored load applied to the
slab within that perimeter. This follows from equilibrium and is the
same basis the calculation uses for the shear stress at each
perimeter. BS EN 1992-1-1 states this reduction expressly for
foundations (clause 6.4.4(2)) and does not prohibit it for slabs. By
using the Software you adopt this assumption as your own engineering
judgement for every design that relies on it, and clause 5.2 applies.

6. THIRD-PARTY SOFTWARE
6.1 The Software incorporates open-source components under their own
    licences (including ezdxf, openpyxl, Shapely, pikepdf and pypdf);
the applicable notices are included with the Software. This
Agreement does not limit your rights under those licences.
6.2 DWG conversion requires the ODA File Converter, which is not
included and which you obtain and license directly from the Open
Design Alliance. Interoperation with RAM Concept, AutoCAD and
Microsoft Excel requires your own valid licences for those products.

7. UPDATES AND SUPPORT
7.1 Cadeo may provide updates, patches and new versions at its
discretion. Updates may be required for continued licence
validation. Support is provided on a reasonable-endeavours basis
unless a separate support agreement says otherwise.

8. PRIVACY AND DATA
8.1 The Software validates licences online and transmits licensing
telemetry (licence key identifiers, machine fingerprint, version).
Your project files and engineering data are processed locally on
your machine and are not uploaded to Cadeo, except for the diagnostic
log files you choose to send to Cadeo from the Settings tab.
8.2 Purchases are processed by our merchant of record and payment
provider; their terms and privacy policies apply to the payment
    transaction.

9. TERM AND TERMINATION
9.1 This Agreement runs for the duration of your subscription or trial.
9.2 Cadeo may terminate this Agreement immediately if you materially
breach it (including any breach of clauses 2, 3 or 3A) and, where
the breach is remediable, you fail to remedy it within 14 days of
    notice.
9.3 On expiry or termination you must stop using the Software and
uninstall it, and destroy any copies of Protected Files in your
    possession. Clauses 1.3, 3, 3A, 4, 5, 10, 11 and 12 survive
termination. Termination does not affect your ownership of
deliverables already generated in compliance with this Agreement.

10. WARRANTY DISCLAIMER
10.1 THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM
EXTENT PERMITTED BY LAW, CADEO DISCLAIMS ALL WARRANTIES, EXPRESS OR
IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE,
MERCHANTABILITY AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE
SOFTWARE IS ERROR-FREE OR THAT ITS OUTPUT IS CORRECT OR COMPLETE.
10.2 Nothing in this Agreement excludes rights or guarantees that cannot
be excluded under applicable law (including, where it applies,
consumer guarantee legislation); where liability for such rights
can be limited, it is limited to re-supply of the Software or the
     cost of re-supply.

11. LIMITATION OF LIABILITY
11.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, CADEO IS NOT LIABLE FOR ANY
INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL LOSS, LOSS OF
PROFIT, LOSS OF DATA, OR FOR ANY CLAIM ARISING FROM DESIGNS,
DRAWINGS, SCHEDULES OR CALCULATIONS ISSUED WITHOUT THE PROFESSIONAL
     REVIEW REQUIRED BY CLAUSE 5.
11.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, CADEO'S TOTAL AGGREGATE
LIABILITY UNDER OR IN CONNECTION WITH THIS AGREEMENT IS LIMITED TO
THE FEES YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE
EVENT GIVING RISE TO THE CLAIM (OR, FOR TRIAL LICENCES, TO USD 100).
11.3 Nothing in this Agreement excludes or limits liability that cannot
be excluded or limited by law, including liability for fraud.

12. GENERAL
12.1 This Agreement is governed by the laws of Ireland, and the Irish
courts have exclusive jurisdiction, subject to any non-excludable
consumer rights in your place of residence.
12.2 You may not assign this Agreement without Cadeo's written consent.
Cadeo may assign it as part of a sale or reorganisation of its
     business.
12.3 If any provision is held unenforceable, the remainder continues in
force. A failure to enforce a provision is not a waiver.
12.4 This Agreement is the entire agreement between the parties for the
Software and supersedes prior discussions. Purchase, payment and
refund terms presented by our merchant of record at checkout apply
to the transaction alongside this Agreement.
